# Optional Latvian Notarial Enforcement Term Sheet

## Objective

The Parties may enter a separate Latvian notarial act covering only a defined, time-limited monetary obligation that the notary confirms can lawfully be submitted for compulsory enforcement. The Service Agreement remains fully effective without it.

## Proposed structure

- Parties and representation: exact registry data, signatory authority and actual identity verification.
- Underlying agreement: identify the signed Product Consulting Services Agreement by date/version.
- Debt: list only principal, interest and payment dates that are clear and calculable from the act or documents the notary confirms are admissible.
- Consent: Company gives express, unequivocal consent to compulsory enforcement in the form required by applicable Latvian law.
- Conditions: do not include contested service quality, estimated data, Recoupment, Hotel Count, default-based acceleration or other factually complex condition unless the notary confirms objective proof requirements and the final act meets them.
- Challenge / notice: use the statutory procedure and notice information required at signing.
- Independence: no failure, refusal or delay in notarisation prejudices the Contractor's ordinary Riga court claim.

## Counsel/notary questions

1. Can instalments be described using a clear schedule where the First Instalment may cover a short service period and the tier may later change?
2. What evidence is sufficient for a condition under the current Notariate Law?
3. Which consent and service wording is mandatory, and what are the filing/challenge time limits?
4. Should the act cover only already due instalments or a fixed annexed schedule, and should Recoupment/expert determination remain outside direct enforcement?
5. Should future Renewal Phase fees be excluded until individually due because the number of renewal months depends on continued active services and termination notice?
